Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Ordro ("Ordro", "we", "us", or "our"), governing your access to and use of the Ordro platform, including our website at ordro.io and the Ordro dashboard application ("Service").

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.

These Terms constitute a valid electronic contract under applicable UAE law. Your acceptance through account creation constitutes a binding agreement.

2. Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Be a sole proprietor, or an authorised representative of a business entity, legally able to enter into binding contracts
  • Operate or intend to operate a business in the United Arab Emirates or a Gulf Cooperation Council (GCC) member state
  • Provide accurate and complete registration information

By using the Service, you represent and warrant that you meet all eligibility requirements. Ordro reserves the right to refuse service, terminate accounts, or cancel orders at our discretion if these requirements are not met.

3. Description of Service

Ordro is a cloud-based order and customer management platform designed for small and medium businesses in the UAE and GCC. The Service enables you to:

  • Create and manage customer orders from any sales channel
  • Maintain a customer relationship management (CRM) database
  • Manage a product catalogue
  • Access business analytics and reports
  • Export data in CSV and PDF formats

The Service is provided "as is" and "as available". We continuously improve the Service and may add, modify, or remove features with reasonable notice.

4. Account Registration and Security

When you create an account, you must provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorised access or security breach at ordroteam@gmail.com

Ordro is not liable for any loss or damage arising from your failure to protect your account credentials. One account corresponds to one business tenant; sharing account credentials with unauthorised parties is prohibited.

5. Free Trial

Ordro offers a 14-day free trial with full access to all features of your selected plan. During the trial period:

  • No payment information is required
  • You have access to all features included in your plan tier
  • At the end of the trial period, your account will be suspended unless you subscribe to a paid plan
  • You will receive an email notification before your trial expires
  • Your data will be retained for 30 days after trial expiration, during which you may subscribe to retain access
  • After the 30-day grace period, your data may be permanently deleted

The trial is limited to one per business entity. Ordro reserves the right to modify or discontinue the trial offer at any time.

6. Subscription Plans and Pricing

6.1 Plans

Ordro offers the following subscription plans:

  • Pro — 99 AED per month

All prices are exclusive of Value Added Tax (VAT). VAT at the applicable rate will be added where required by law.

6.2 Billing

  • Subscriptions are billed monthly in advance in UAE Dirhams (AED)
  • Subscriptions automatically renew at the end of each billing cycle unless cancelled
  • We will notify you at least 7 days before any price changes take effect
  • Price changes apply from the next billing cycle following the notification period

6.3 Payment

For V1, billing is handled through manual invoicing. Ordro will issue invoices to your registered email address. Payment must be received within 14 days of the invoice date. Failure to pay may result in suspension of your account.

6.4 No Refunds

All subscription payments are non-refundable. Once a payment has been made, no refunds will be issued, including for partial months of service or unused time on your subscription. We encourage you to make full use of the 14-day free trial to evaluate the Service before subscribing.

7. Data Ownership

Your data belongs to you. This is a core principle of Ordro.

  • You retain full ownership and intellectual property rights over all data you enter into the Service, including customer information, orders, products, and business records ("Your Data")
  • Ordro acts as a data processor in relation to Your Data, processing it solely to provide the Service to you
  • You are the data controller for Your Data and are responsible for ensuring you have the legal right to collect and process your end-customers' personal data
  • You grant Ordro a limited, non-exclusive licence to process Your Data solely for the purpose of providing, maintaining, and improving the Service
  • Ordro will not sell, rent, or share Your Data with third parties for their own purposes
  • Ordro may use anonymised and aggregated data (that cannot identify you or your customers) to improve the Service and generate industry benchmarks

8. Data Export and Portability

Upon cancellation of your subscription, Ordro will retain Your Data so that you can resubscribe and continue with your account seamlessly. If you wish to have all of Your Data permanently deleted, you may request this by emailing ordroteam@gmail.com.

9. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation of the United Arab Emirates
  • Store, transmit, or process any data that is unlawful, defamatory, or contrary to public order and morality under UAE law
  • Engage in or facilitate fraud, money laundering, or terrorist financing
  • Infringe the intellectual property rights of any third party
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without written authorisation
  • Upload malicious code, viruses, or any content designed to disrupt the Service
  • Use the Service in any manner that could damage, disable, or impair the Service

Violation of these terms may result in immediate account termination without notice or refund.

10. Intellectual Property

The Service, including its source code, design, user interface, logos, trademarks, and all related intellectual property, is owned by Ordro and protected by applicable UAE intellectual property laws.

Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms. The Ordro name, logo, and all related product names are trademarks of Ordro.

11. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or secure access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavour to provide advance notice)
  • Emergency maintenance or security updates
  • Factors beyond our reasonable control, including internet service disruptions, hosting provider outages, or force majeure events

Ordro shall not be liable for any loss or damage resulting from service interruptions.

12. Account Termination

12.1 Termination by You

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. You will retain access to the Service until the end of that period, after which your account will be deactivated.

12.2 Termination by Ordro

Ordro may suspend or terminate your account if:

  • You breach these Terms and fail to remedy the breach within 14 days of written notice (except for serious breaches, which may result in immediate termination)
  • Your payment is overdue by more than 30 days
  • You engage in activity that violates UAE law
  • Your account has been inactive for more than 12 consecutive months
  • We are required to do so by law or regulatory authority

12.3 Effect of Termination

Upon termination, Ordro will retain Your Data so that you can resubscribe and continue with your account seamlessly. If you wish to have all of Your Data permanently deleted, you may request this by emailing ordroteam@gmail.com. Ordro may also retain certain data where required by applicable law (e.g., financial records for tax compliance).

13. Limitation of Liability

To the maximum extent permitted by UAE law:

  • Ordro's total aggregate liability for any claims arising under these Terms shall not exceed the total fees paid by you to Ordro in the 12 months immediately preceding the claim
  • Ordro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunity
  • Ordro shall not be liable for any loss arising from your reliance on the Service for business decisions

Nothing in these Terms excludes or limits Ordro's liability for fraud, wilful misconduct, gross negligence, or any other liability that cannot be excluded or limited under applicable law.

14. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, to the extent permitted by UAE law. Ordro does not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any defects in the Service will be corrected within a specific timeframe

15. Modifications to Terms

Ordro may update these Terms from time to time. When we make material changes, we will:

  • Notify you by email at least 30 days before the changes take effect
  • Display a prominent notice within the Service
  • Update the "Last updated" date at the top of this page

Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

16. Modifications to the Service

Ordro reserves the right to modify, update, or discontinue any part of the Service at any time. If we discontinue the Service entirely, we will provide at least 90 days' notice and assist you in exporting Your Data.

17. Dispute Resolution

17.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to contact us at ordroteam@gmail.com and attempt to resolve the dispute informally within 30 days.

17.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

17.3 Jurisdiction

Any disputes arising from or in connection with these Terms that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the competent courts in Dubai, United Arab Emirates.

18. Force Majeure

Ordro shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, internet or telecommunications failures, power outages, or cyberattacks.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

20. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ordro regarding the use of the Service, superseding any prior agreements or communications.
